Terms of Service
The contract that governs use of the HookPilot AI Workforce Operating System.
1. Who We Are
These Terms of Service ("Terms") are a binding contract between you ("Customer", "you") and HookPilot Caption Studio LLC ("HookPilot", "we", "us"), a Family Senci company doing business as HookPilot at hookpilot.co. By creating an account, clicking "I agree", calling any HookPilot API, accepting a quote, or otherwise using any HookPilot service, you accept these Terms on your own behalf and on behalf of any organization you represent.
2. The Platform
HookPilot operates the HookPilot AI Workforce Operating System — a SaaS platform that gives customers access to 40 chartered AI departments, including but not limited to Caption Studio, AI Music Video, Agent Marketplace, Agency, Real Estate, Cyber Security, Healthcare, Finance & Banking, Legal & Compliance, Agriculture, Energy & Utilities, Blockchain & Crypto, Architecture & Engineering, AI Governance, Defense & Intelligence, Investor Relations and Public Relations. Each department is staffed by named AI agents at six qualification tiers (Assistant → Operator → Analyst → Specialist → Department Lead → Executive Advisor) and runs against a published charter, framework set and bright-line rules.
HookPilot also provides supporting infrastructure: AI model routing across multiple providers, prompt caching, cost governance, memory and audit logs, dashboards, analytics, integrations and APIs. The platform is provided as a service over the public internet.
3. Acceptance and Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) and legally capable of entering this contract. If you are using HookPilot on behalf of a company, agency, school, government body or other organization, you represent that you have authority to bind that organization and the word "you" in these Terms includes that organization. Use of HookPilot by sanctioned persons, in sanctioned jurisdictions, or by anyone HookPilot has previously terminated for cause is not permitted.
4. Accounts and Workspaces
You are responsible for everything that happens under your account and inside your workspace, including the actions of teammates you invite, integrations you authorize, and AI agents you deploy or configure. Keep your credentials confidential, enable multi-factor authentication where available, and notify security@hookpilot.co promptly if you suspect unauthorized access. We may suspend access to protect the platform if a credential is exposed.
5. Plans, Billing and Cancellation
HookPilot offers free, Pro, and Enterprise plans. Pricing, included usage, model routing tiers and feature scope for each plan are described on the pricing page and in any order form or quote you accept. Paid plans renew automatically at the end of each billing cycle on the same plan and price unless you cancel before renewal. Fees are non-refundable except where required by law or expressly stated in an order form. You authorize HookPilot and our payment processors (including Stripe) to charge your saved payment method for renewals, overage, taxes and applicable fees. Significant pricing changes are notified in advance and take effect at your next renewal.
6. Customer Content and Intellectual Property
You own your Customer Content. "Customer Content" means everything you upload, type, dictate, import, generate using the platform, or otherwise submit through HookPilot — including briefs, prompts, scripts, captions, video, audio, images, transcripts, brand assets, customer data, and the outputs produced by AI agents on your behalf. You retain all right, title and interest in Customer Content.
You grant HookPilot a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, transmit, process, render, back up and display Customer Content solely as needed to operate and improve the platform for you, comply with law, and respond to your support requests. We do not use your Customer Content to train shared AI models.
HookPilot owns the platform. The HookPilot product, agent charters, frameworks, dashboards, brand, code, documentation, prompts authored by HookPilot, and the look and feel of the service are owned by HookPilot or our licensors and are protected by intellectual property law.
7. AI Workforce, Veto Authority and Human-in-the-Loop
HookPilot's AI departments run under a governance layer that includes hallucination self-check, evidence and policy memory, output confidence scoring, and named agents with independent veto authority. When a workflow could materially affect health, safety, legal posture, finances, regulated communications or contractual obligations, the platform expects a human reviewer or a chartered veto-holder (typically the Chief Officer, Statute, Shield or Security role for the relevant department) to clear the output before it ships.
You acknowledge that AI output can be wrong. You agree to keep a human in the loop for any decision that you would not want a junior employee to make unsupervised, and to use HookPilot's review queues, attestation prompts and audit logs as designed. 8. Acceptable Use
You agree not to use HookPilot to: (a) infringe intellectual property or publicity rights; (b) generate content that is sexually exploitative of minors, that materially deceives consumers, or that is otherwise unlawful in the jurisdictions you operate in; (c) impersonate a person or organization in a way reasonably likely to cause harm; (d) build or train a competing AI model on HookPilot output; (e) reverse engineer, scrape, or circumvent rate limits, authentication, or access controls; (f) attack the platform, other tenants, or our infrastructure; (g) introduce malware, prompt-injection chains, or other harmful payloads; or (h) violate sanctions, export controls or applicable AI-specific regulation.
9. Third-Party Services and Integrations
HookPilot integrates with third-party AI providers, payment processors, analytics, social platforms, advertising platforms, identity providers and storage providers ("Third-Party Services"). Your use of a Third-Party Service is governed by that provider's terms, and we are not responsible for changes, outages or actions taken by that provider. Where you connect a Third-Party Service to your workspace, you authorize HookPilot to exchange data with it on your behalf within the scopes you approve.
10. Confidentiality
Each party will protect the other's confidential information with at least the same degree of care it uses for its own (and no less than reasonable care), use it only as permitted under these Terms, and disclose it only to personnel and contractors bound by confidentiality obligations at least as protective as those in this section. The NDA & Confidentiality Agreement linked here is the form we use with contributors, vendors and partners and is incorporated by reference for Enterprise customers who have executed it.
11. Warranty Disclaimer
EXCEPT AS EXPRESSLY STATED IN A SIGNED ORDER FORM, HOOKPILOT IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI OUTPUT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CONTENT WILL ACHIEVE VIRAL REACH, REVENUE, RANKINGS OR ANY OTHER BUSINESS OUTCOME.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO HOOKPILOT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnity
You will defend, indemnify and hold harmless HookPilot, its affiliates, officers, employees and contractors from and against any third-party claim arising out of (a) your Customer Content, (b) your use of the platform in violation of these Terms or applicable law, (c) your failure to keep a human in the loop where required by Section 7, or (d) any deception, regulatory violation or IP infringement caused by content you published from HookPilot. HookPilot will defend you against third-party claims that HookPilot-authored code or HookPilot-authored prompts infringe a third party's intellectual property rights, subject to the limitations and process set out in any executed order form or master agreement.
14. Suspension and Termination
You may cancel at any time from your account settings. We may suspend or terminate access immediately if you breach these Terms (including the Acceptable Use rules), if required by law, or to protect the platform or another customer from imminent harm. Upon termination, your right to use HookPilot ends, and we will make Customer Content available for export for thirty (30) days unless prohibited by law or the breach giving rise to termination. Sections 6, 10, 11, 12, 13 and 15–17 survive termination.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information. Nothing in this section limits any non-waivable consumer rights you have under the laws of your country of residence.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes we will post the new version with an updated effective date and notify you through the product, by email, or both. Continued use after the effective date constitutes acceptance. Prior versions are archived and available on request to legal@hookpilot.co.
