Operating Agreement

1. Entity
HookPilot Caption Studio LLC is a limited liability company. The founding documents — Certificate of Formation, EIN issuance from the IRS, and registered agent designation — are held in the corporate record book together with this Operating Agreement and the resolutions below.
2. Purpose
HookPilot Caption Studio LLC is organised to operate the HookPilot AI Workforce Operating System and related SaaS, AI and creative-technology products; to develop, license and commercialise the associated intellectual property; to enter into commercial agreements and customer contracts; and to engage in any lawful business permitted to an LLC in its jurisdiction of organisation.
3. Member
The Company is initially a single-member LLC. The sole member's name, address and percentage interest are recorded in the executed Operating Agreement and in Schedule A to that Agreement. Additional members may be admitted only by written amendment signed by the sole member.
4. Management
The Company is member-managed. The sole member acts as the Company's authorised manager and may delegate operational authority to officers, employees, contractors and the HookPilot AI departments (subject to those agents' charters). Decisions reserved to the member include amendment of this Agreement, admission of additional members, distributions, dissolution, sale of substantially all assets, and approval of executed contracts above a member-defined threshold.
5. Capital Contributions
The initial capital contribution of the sole member is recorded in Schedule A. Additional contributions are at the sole member's discretion. The Company maintains a single capital account for the member.
6. Distributions
Distributions are made to the sole member at the times and in the amounts the sole member determines, subject to applicable law and to the Company's ability to satisfy its obligations.
7. Tax
The Company is intended to be treated as a disregarded entity for U.S. federal income-tax purposes while it has a single member, with its income and deductions reported on the member's return. The Company may elect a different classification if and when the sole member determines.
8. Indemnification
To the fullest extent permitted by law, the Company indemnifies the sole member, officers, employees and authorised contractors against losses arising from acts performed in good faith on behalf of the Company, except where the act constitutes fraud, willful misconduct, or a knowing violation of law.
9. Dissolution
The Company dissolves only upon written election by the sole member, by entry of judicial dissolution, or as required by law. On dissolution, the Company winds up its affairs, pays creditors, returns capital, and distributes any remaining assets to the sole member.
