Marketplace Seller Agreement
Rules for selling agents, templates, departments and workflows on the HookPilot Agent Marketplace.
1. Parties
This Marketplace Seller Agreement ("Agreement") is between HookPilot Caption Studio LLC ("HookPilot") and the seller account holder ("Seller") who lists agents, templates, departments or workflows ("Listings") on the HookPilot Agent Marketplace ("Marketplace"). It is accepted by Seller at seller-account creation and applies to every Listing.
2. What You Can Sell
- Custom AI agents that operate inside a HookPilot workspace.
- Caption Studio templates, AI Music Video scene templates, Agency client-onboarding templates and similar reusable workflow assets.
- Department packs (a coherent set of agents, templates and frameworks for a vertical), subject to additional review.
- Integration recipes and webhook automations within HookPilot's published extension points.
You may not sell: copies or derivatives of HookPilot's own shipped templates that are substantially similar to the underlying; assets that violate the Acceptable Use Policy; assets that exfiltrate prompts; or assets that bypass HookPilot's hallucination self-check or veto authority.
3. Listing Review
Each Listing is reviewed before publication for: safety (AUP), IP (no third-party IP without rights), AI governance (charter, bright-line rules, veto compatibility), accuracy of listing description, screenshots and demo content. Routine listings are reviewed within five (5) business days; department-pack listings may take longer.
4. Pricing and Payout
Seller sets the list price in supported currencies. HookPilot charges the buyer through the platform's payment processor. HookPilot's standard take-rate is disclosed in the seller dashboard and may be updated on 30-days notice. Net amounts are paid out monthly via the payment processor on accumulated balances above the minimum threshold, less any chargebacks, refunds and taxes withheld.
5. Intellectual Property and License Grant
Seller retains ownership of its Listings. Seller grants HookPilot a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, transmit, render, display, demo and distribute the Listings on the Marketplace, and to grant end-users the right to install and use Listings inside their HookPilot workspaces. The end-user license granted to buyers is the Seller's standard EULA where provided, and HookPilot's default Marketplace EULA where not.
6. Quality and Support
Seller is responsible for the quality of its Listings and for first-line customer support. HookPilot may surface Seller's documentation, version history and support-response time on the listing page. Repeated quality or support failures may result in delisting per Section 10.
7. AI Safety
Seller agrees that its agents will operate within the governance layer described in AI Governance and will not: bypass veto-holding roles; circumvent hallucination self-check; lift HookPilot's framework libraries without license; instruct end users to take unsupervised AI output into high-risk domains (legal filings, medical advice, financial advice, regulated communications) without human review; or train a competing AI model on outputs.
8. Tax and Classification
Seller is an independent contractor with respect to HookPilot, not an employee, agent, partner or joint venturer. Seller is responsible for tax registration, collection where required, and reporting of income from Marketplace sales. HookPilot will issue tax forms (e.g., U.S. Form 1099-K) where required by law.
9. Brand and Ranking
Seller may describe its Listings as "Available on the HookPilot Agent Marketplace" per the Brand Usage Policy. HookPilot ranks Listings based on relevance, quality signals, conversion, customer feedback and policy compliance; HookPilot does not sell ranking. Seller may not manipulate ranking through fake reviews, install fraud or bot traffic.
10. Removal and Takedown
HookPilot may remove a Listing for: AUP / IP / AI-safety violations; persistent quality or support failures; valid DMCA notice (see DMCA Policy); regulatory order; or breach of this Agreement. Seller may delist any of its own Listings; existing buyers retain installed copies under the terms granted at install unless safety requires revocation.
11. Term and Survival
This Agreement begins when Seller creates a seller account and continues until terminated by either party. On termination, accrued payouts (less chargebacks and taxes) are paid through the next regular payout cycle. Sections 5, 7, 8 and 12 survive termination.
